A Global Trustee Firm is seeking a Group Corporate Governance Director to lead the governance and compliance operations from the British Virgin Islands office.

As the Group Corporate Governance Director, you will be responsible for partnering with and advising the Executive and Global Boards to ensure compliance with all associated matters. Based from the British Virgin Island office, you will drive the group governance structure, efficiently managing the business and its commercial and international subsidiaries and clients. You will have the opportunity to lead an engaged team of company secretariat professionals, modelling exemplary people management practices and ensuring compliance with relevant Corporate Governance requirements and regulations. You will oversee the Group’s portfolio of clients across Europe, Africa, and Asia, acting as a crucial link to team members in multiple jurisdictions.

This role will entail deputising for the managing director of the Trust company and mentoring staff in delivering exceptional services and high-quality work to the company’s clients. Along with this, you will prepare corporate approvals for BVI and UK Companies House filings and statutory registers.

Overall, you will manage the British Virgin Island Office, including direct management of the BVI Administration Team and BVI Compliance Oversight, as well as training and reviewing work. There will be participation in Board meetings, interaction with portfolio client stakeholders and Board Directors, and monitoring regulatory and statutory changes.

Key Qualifications and Experience required for the Director:

  • Professional qualification: CA(SA) / ACCA / LLB / FCIS or similar (required)
  • STEP Qualification (Advantageous)
  • 10+ years of senior management experience at Board level (required)
  • Proven knowledge and experience in managing British Virgin Island corporate structures (required)
  • Multinational and Multi-jurisdictional experience (required) - NB
  • Ability to manage multiple projects simultaneously
  • People management – NB

Key Duties for the Director include but are not limited to:

  • Oversee the day-to-day operations of the British Virgin Island office, ensuring it runs smoothly and efficiently
  • Facilitate and lead discussions on governance-related topics, providing expert advice and insights to the Board
  • Assist in the development and implementation of governance policies and procedures
  • Participating in Board meetings
  • Provide leadership and mentorship and fostering a culture of excellence and continuous improvement
  • Monitor team performance and ensure high standards of work are maintained
  • Manage a diverse portfolio of clients, ensuring all governance and compliance requirements are met
  • Regularly review client portfolios to identify and mitigate any potential risks
  • Assist clients with a variety of corporate transactions, including incorporations, share allotments, capital reductions, and amendments to articles of association
  • Ensure that all transactions are conducted in accordance with British Virgin Island and UK laws
  • Maintain accurate and up-to-date statutory registers for all companies
  • Ensure compliance with all relevant regulations and standards, including conducting regular compliance reviews
  • Engage with stakeholders, including Board Directors and external clients, to build strong relationships and ensure effective communication
  • Work closely with internal teams, including legal, finance, and compliance, to ensure cohesive and coordinated efforts
  • Engage with external parties, such as regulators, auditors, and legal advisors, to address governance and compliance issues
  • Stay informed about changes to regulatory and statutory requirements that may impact the company and its clients
  • Assess the implications of regulatory changes and advise the Board and clients accordingly
  • Update governance policies and procedures to ensure ongoing compliance with new regulations
